Sale and delivery conditions
The following terms of sale and delivery apply to the extent that they are not derogated from by other written agreement. Note: Due to rising shipping costs, we are unfortunately forced to raise the limit for free shipping to 200,- €.
1. Offer, Order, and Acceptance
Buyer's orders and purchases are only binding for HIN when the buyer has received written order confirmation. All offers are non-binding unless otherwise stated. Offers from HIN, which are expressly binding for HIN, expire if corresponding acceptance from the buyer is not received by HIN within 4 weeks from the date of the offer. Information in product information and price lists - whether written or electronic - is only binding to the extent that the order confirmation expressly refers to them. For custom-made goods, we reserve the right to deliver + - 10% of the quantity specified in the order. For orders under 67 €, HIN is entitled to charge an expedition fee of 10 €.
2. Price and Delivery Terms
The price applies Ex Works (incoterms 2020) and is exclusive of VAT and other taxes. Changes to offer prices are subject to change before and after acceptance considering changes in material prices, prices from subcontractors, changes in public taxes, exchange rate changes, wage changes, and other factors. If the nature of the delivery changes or HIN's costs increase in any other way due to circumstances with the buyer, there is a provision for adjusting the agreed price. Deliveries not covered by binding offers are made at the price on the day of delivery. HIN also reserves the right for typographical errors, price errors, changes in VAT and taxes, out-of-stock/discontinued items, and delivery failures from our suppliers.
3. Payment Terms
Unless otherwise agreed, payment must be made 8 days net from the invoice date. If another agreement on payment has been made, and payment is not made by the due date, HIN is entitled to interest on arrears of 2% per month of the amount due from the due date, as well as claim for payment of reminder fees. HIN A/S reserves ownership of goods purchased on credit until the full purchase amount has been paid. All costs associated with enforcing the retention of title are borne by the buyer.
4. Delivery Time
Unless otherwise agreed, delivery takes place as soon as possible. In cases where a delivery week is agreed upon, delivery on the last day of the stipulated delivery week is considered timely delivery in every respect. HIN may demand a postponement of the delivery time in the following cases:
a. When changes to the order are required by the buyer.
b. In case of delays in deliveries or services that the buyer performs or has performed.
c. In case of force majeure or if work on the delivery is stopped or delayed by public order.
d. In case of delays in connection with machine deliveries, where the delay is due to the machine manufacturer's circumstances.
In the above points, HIN also reserves the right to adjust the agreed price in accordance with the costs incurred by HIN in this regard. HIN is not obligated to compensate for losses due to non-delivery or any exceeding of the delivery time.
5. Delay Interest
If the buyer fails to pick up the equipment or give instructions for shipment after the delivery time has elapsed, HIN is entitled to store and insure the performance at the buyer's expense. If the buyer, despite written notice, fails to pick up the equipment, HIN - even in cases where the equipment is manufactured specifically according to the buyer's instructions or specifications - is entitled to sell it to the best of the buyer's account.
6. Defects
HIN's liability only covers defects that occur within 2 years from the date the material was delivered. HIN's obligation to remedy or replace defects includes only labor and materials directly related to HIN's obligation. All other costs associated with a defect, including transportation, waiting time, allowances, accommodation, and costs for exposing or making defective parts available, are therefore irrelevant to HIN. HIN's obligation to remedy defects is conditional on the buyer proving that the delivered material is defective and demonstrating that the material has been stored, installed, used, and maintained correctly and in accordance with the regulations provided by HIN. Furthermore, HIN assumes no further responsibility for the delivered material, so the buyer cannot cancel the purchase, demand a proportional discount or compensation, or withhold the purchase price in whole or in part. HIN is only responsible for ensuring that the delivered item is sufficient and/or suitable for solving the buyer's tasks in terms of capacity and other aspects to the extent that HIN has made dimensioning, etc., and to the extent that the buyer demonstrates that the information provided by the buyer regarding the buyer's requirements is correct and sufficient. Under no circumstances does HIN assume liability for advice, dimensioning, and other design work performed by third parties.
7. Product Liability
The buyer shall indemnify HIN to the extent that HIN is held liable to third parties for such damage and loss as HIN is not liable for to the buyer under the above provisions. HIN is not liable for damage caused by the equipment: a) to real estate or movable property occurring while the equipment is in the buyer's possession, b) to products manufactured by the buyer or to products in which these are included, or for damage to real estate or movable property caused by these products as a result of the equipment. In no event is HIN liable for loss of production, lost profits, or other economic consequential losses. If a third party makes claims against one of the parties for liability under this clause, that party must immediately notify the other party thereof.
8. Limitation of Liability
Under no circumstances is HIN liable for loss of production, lost profits, or other economic consequential losses.
9. Duty to Complain and Examine
It is the buyer's responsibility to conduct a thorough examination of whether the equipment is in conformity, no later than upon receipt. The buyer is obliged to immediately notify in writing of any defects discovered during such examination, and the buyer cannot later invoke defects that could have been detected during such examination. The buyer also cannot invoke defects if the buyer fails to immediately complain about subsequently discovered defects that the buyer has not discovered or should have discovered upon delivery. The buyer is obliged to cover HIN's costs in connection with complaints to the extent that the complaint is unfounded, or there are defects for which HIN is not liable.
10. Returns
Goods can be returned using HIN's return form, which can be requested by contacting HIN at +45 7625 9090 or hin@hin.dk. Return of stocked items can only take place when these have been purchased from HIN, are in undamaged condition, and in original unbroken packaging. All shipping costs associated with returning goods are borne by the customer. Goods returned more than 30 days from the delivery date will not be accepted. Non-stocked special and custom order items cannot be returned. HIN is entitled to impose a restocking fee of 20% of the value of the goods, with a minimum of 40 €.
